By accessing the Semanti website ("Website") or using the services offered by Semanti ("Services") you agree and acknowledge to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms or to our Privacy Policy, please do not access the Website or use the Services. Semanti reserves the right to change these Terms at any time.

1. License

Semanti grants you a limited license to access the Website and use the Services in accordance with these Terms and the instructions and guidelines posted on the Website. Semanti reserves the rights to terminate your license to use the Website and Services at any time and for any reason or in the future charge for commercial usage.

2. User Responsibility

You are solely responsible for your use of the Website and Services. Because Semanti merely serves as a repository of information, user-posted content does not represent the advice, views, opinions or beliefs of Semanti, and Semanti makes no claim of accuracy of any user-posted material. User-posted content may contain links to third-party websites. The linked websites' content, business practices and privacy policies are not under our control, and we are not responsible for the content of any linked website or any link contained in a linked website. The inclusion of a link on the Website or Services does not imply any endorsement by or any affiliation with Semanti. In accessing the Website and Services or following links to third-party websites you may be exposed to content that you consider offensive or inappropriate. You agree that your only recourse is to stop using the Website and Services.

3. Provision of the Services by Semanti

Semanti is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Services which Semanti provides may change from time to time without prior notice to you.

As part of this continuing innovation, you acknowledge and agree that Semanti may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at Semanti's sole discretion, without prior notice to you. You may stop using the Services at any time. You do not need to specifically inform Semanti when you stop using the Services.

You acknowledge and agree that if Semanti disables access to your account, you may be prevented from accessing the Services, your account details or any files or other content which is contained in your account.

You acknowledge and agree that while Semanti may not currently have set a fixed upper limit on the number of transmissions you may send or receive through the Services or on the amount of storage space used for the provision of any Service, such fixed upper limits may be set by Semanti at any time, at Semanti's discretion.

4. Use of the Services by you

In order to access certain Services, you may be required to provide information about yourself (such as identification or contact details) as part of the registration process for the Service, or as part of your continued use of the Services. You agree that any registration information you give to Semanti will always be accurate, correct and up to date.

You agree to use the Services only for purposes that are permitted by (a) the Terms and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions (including any laws regarding the export of data or software to and from the United States or other relevant countries).

You agree not to access (or attempt to access) any of the Services by any means other than through the interface that is provided by Semanti, unless you have been specifically allowed to do so in a separate agreement with Semanti. You specifically agree not to access (or attempt to access) any of the Services through any automated means (including use of scripts or web crawlers) and shall ensure that you comply with the instructions set out in any robots.txt file present on the Services.

You agree that you will not engage in any activity that interferes with or disrupts the Services (or the servers and networks which are connected to the Services).

Unless you have been specifically permitted to do so in a separate agreement with Semanti, you agree that you will not reproduce, duplicate, copy, sell, trade or resell the Services for any purpose.

5. API

Semanti provides access to portions of its Website and Services via an API; for the purposes of these Terms, such access constitutes use of the Website and Services. Semanti asks that you use these features respectfully. You may not use these or any other features or the Website itself to allow the display of a substantial portion of the Semanti database or reproduce, duplicate or copy the Semanti Website. Semanti reserves the rights to change these features at any time and to disable access to the API at any time for any reason.

6. Intellectual Property (Trademarks & Copyrights)

Semanti, the Semanti logo and the Semanti design are trademarks or trade dress of Semanti, and may not be used without express written permission from Semanti, other than for attribution. All other trademarks not owned by Semanti that appear on this Website are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Semanti.

Semanti-originated content included on the Website, such as text, graphics, logos, data compilations, APIs, software and the compilation of all content on the Website, is the property of Semanti and its licensors and protected by Canada and international copyright laws. Except as set out in these Terms, no reproduction of any Semanti-originated content is permitted without written permission from Semanti.

User-posted content is copyrighted, and any use or reproduction of user-posted content must comply with the terms of the respective license(s) and must include a label indicating such license.

7. No Warranty and Limitation of Liability

SEMANTI PROVIDES THE WEBSITE AND SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. SEMANTI SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, INFORMATION ACCURACY, INTEGRATION, INTEROPERABILITY OR QUIET ENJOYMENT.

You understand and agree that you use the Website and Services at your own discretion and risk and that you will be solely responsible for any damages that arise from such use. UNDER NO CIRCUMSTANCES SHALL SEMANTI BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OF ANY KIND, OR ANY OTHER DAMAGES WHATSOEVER (HOWEVER ARISING, INCLUDING BY NEGLIGENCE), INCLUDING WITHOUT LIMITATION, DAMAGES RELATED TO USE, MISUSE, RELIANCE ON, INABILITY TO USE AND INTERRUPTION, SUSPENSION, OR TERMINATION OF THE WEBSITE OR SERVICES, DAMAGES INCURRED THROUGH ANY LINKS PROVIDED ON THE WEBSITE AND THE NONPERFORMANCE THEREOF AND DAMAGES RESULTING FROM LOSS OF USE, SALES, DATA, GOODWILL OR PROFITS, WHETHER OR NOT SEMANTI HAS BEEN ADVISED OF SUCH POSSIBILITY. 8. Other

Semanti and you are independent entities, and nothing in the Terms, or via use of the Website or Services, will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between Semanti and you.

These Terms supersede any previous agreement and represent the entire agreement between Semanti and you. These Terms are governed by the laws of Canada without reference to conflict of laws principles. If any provision of the Terms is adjudged to be illegal or unenforceable, the continuation in full force of the remainder of the Terms will not be prejudiced, and the illegal or unenforceable provision of the Terms shall be severed accordingly.
